ACRES Commercial Realty Corp. Leadership

David J. Bryant has served as a director of ACRES Commercial Realty since January 2024. He was the Company's Senior Vice President, Chief Financial Officer and Treasurer from June 2006 until his retirement in December 2023, and served as its Chief Accounting Officer from 2006 to 2014. Before joining the Company, Mr. Bryant held senior finance roles at Pennsylvania Real Estate Investment Trust (PREIT), including Senior Vice President-Finance and Treasurer and principal accounting officer, and earlier at its predecessor, The Rubin Organization. He brings 17 years of experience as the Company's Chief Financial Officer and Treasurer and more than 40 years in the real estate industry. He is an inactive Certified Public Accountant.

Karen Edwards has served as a director of ACRES Commercial Realty since June 2021. She has been a Partner of Boyden Global Executive Search since April 2018 and previously served as President and CEO of Kosiba Edwards Associates, providing corporate strategic and financial advisory services, from 2010 to 2018. In 1992 she co-founded the investment banking group of Friedman, Billings, Ramsey & Co. Ms. Edwards served as a director of Arbor Realty Trust (NYSE: ABR) from 2005 to 2018, serving on its Nominating & Governance and Audit Committees. She is a former Trustee of the Darden School at the University of Virginia and a Chartered Financial Analyst (CFA).

Gary Ickowicz has served as a director of ACRES Commercial Realty since February 2007. He has been Managing Partner of IR Capital LLC, a real estate company that owns and operates assets in the New York metropolitan area, since 2008. He was a Managing Principal of Lazard Freres Real Estate Investors from 2001 to 2011 and a director of Lazard Freres' real estate investment banking unit from 1989 through 2001. He was a director of Commonwealth Atlantic Properties, Inc., a privately held REIT (2001-2011), and previously served as a director of Kimsouth, Inc., a joint venture with Kimco Realty Corporation (NYSE: KIM). He brings broad real estate and real estate finance experience as a principal in the real estate operations of an international investment bank.

Steven J. Kessler has served as a director of ACRES Commercial Realty since November 2009 and served as its Chairman from November 2009 until September 2016. He is a founding co-managing member of RSR SC LLC and a member of several affiliated entities operating under the EB-5 Immigrant Investor Program. He served as the Company's Senior Vice President-Finance (2005-2009) and earlier as its Chief Financial Officer, Chief Accounting Officer and Treasurer (2005). Mr. Kessler was Executive Vice President of Resource America, Inc. from 2005 to 2016 and its Chief Financial Officer from 1997 to 2009. He previously held senior finance roles at Kravco Company and Strouse Greenberg & Co. and was a partner at Touche Ross & Co. (now Deloitte & Touche LLP). He serves on the Company's Audit, Compensation and Investment Committees.

Murray S. Levin has served as a director of ACRES Commercial Realty since March 2005. He is senior counsel at the law firm Troutman Pepper Locke, with which he has been associated since 1970. Mr. Levin served as the first American president of the Association Internationale des Jeunes Avocats and is a past president of the American Chapter and a member of the board of governors of the Union Internationale des Avocats, a Paris-based international lawyers association. He has practiced complex litigation law for more than 40 years and has served as a corporate director and committee member for over 20 years.

P. Sherrill Neff has served as a director of ACRES Commercial Realty since March 2005 and chairs the Audit Committee. He is currently Chairman of Homestead Smart Health Plans, a private company providing services for self-funded employer health plans, and was a founding partner of Quaker Partners, a health care venture and growth equity fund manager, from 2002 to 2024. From 1994 to 2002 he was President, Chief Operating Officer and Chief Financial Officer, and from 1994 to 2003 a director, of Neose Technologies, Inc., a then publicly traded life sciences company. He earlier served as a senior executive of U.S. Healthcare, as a Managing Director in the Investment Banking Division of Alex. Brown & Sons, and as a corporate attorney at Morgan, Lewis & Bockius.

Dawanna Williams has served as a director of ACRES Commercial Realty since June 2021. She is the founder of Dabar Development Partners, a real estate development and investment firm focused on conversion, renovation and new construction primarily in New York City, and has served as its Managing Principal since September 2003. She previously served as General Counsel of Victory Education Partners (2010-2013), as a commercial real estate senior associate at Sidley Austin LLP (1999-2003) and as an associate at Paul Hastings (1996-1999). Since 2022 she has been a director of Compass, Inc. (NYSE: COMP) and since 2023 a director of Ares Industrial Real Estate Income Trust. She brings more than 20 years of real estate industry and development experience to the Board.

Mark S. Fogel has served as ACRES Commercial Realty's President and Chief Executive Officer and as a director since July 2020, and continues as President of the Company following the internalization of its external manager, which closed on August 6, 2026. He co-founded ACRES Capital in 2012 and leads its executive management team as President and Chief Executive Officer. Before co-founding ACRES Capital, Mr. Fogel was head of Origination and Asset Management at UC Funds (2010-2011) and served as Senior Vice President of Asset Management at Arbor Realty Trust (NYSE: ABR) from 2000 to 2009. He earlier held roles in the Real Estate Investment Banking group at Greenwich Group International, in Asset Management and Development at Forest City Ratner, and began his career at General Growth Properties in 1994. He brings more than 30 years of commercial real estate finance experience across loan production, asset management and special servicing.

Andrew Fentress has served as Chairman of ACRES Commercial Realty since July 2020 and, following the internalization that closed on August 6, 2026, serves as Managing Director, Capital Markets and as the Company's principal executive officer. He has been a Managing Partner of ACRES Capital Corp. since 2016, leading the firm's capital markets efforts. Mr. Fentress previously served as a Managing Director in the Special Situations group at Napier Park Global Capital (2014-2016) and was a founding and Managing Partner of Medley Capital, a New York private investment firm he helped build to $5 billion of AUM and 60 employees, from 2006 through 2014. He began his career at Morgan Stanley & Co. in 1995. He brings over 30 years of finance and investment management experience to the Board.

Eldron C. Blackwell has served as ACRES Commercial Realty's Senior Vice President and Chief Financial Officer since January 2024, and continues as Chief Financial Officer and principal financial officer following the internalization completed on August 6, 2026. He previously served as the Company's Vice President and Chief Accounting Officer from March 2014 to December 2023 and as Treasurer from January 2024 through December 2024. Before joining ACRES, Mr. Blackwell was Assistant Controller at New Penn Financial, LLC, a residential mortgage lender (2013-2014), and spent more than a decade in the audit practice of Grant Thornton LLP (2001-2013), where he was a Senior Manager. Since April 2025 he has served as a director of Crane Harbor Acquisition Corp. (Nasdaq: CHAC). He is an inactive Certified Public Accountant.

Jaclyn A. Jesberger has served as ACRES Commercial Realty's Chief Legal Officer, Senior Vice President and Secretary since July 2020 and continues in the Chief Legal Officer role following the internalization completed on August 6, 2026. She has been General Counsel and Chief Compliance Officer at ACRES Capital since June 2015. Ms. Jesberger previously served as Associate General Counsel at Arbor Commercial Mortgage, LLC, the external manager of Arbor Realty Trust (NYSE: ABR), from 2009 to 2015, and was an Associate and then Vice President in the Real Estate Finance and Securitization group at Credit Suisse from 2004 to 2009. She began her career practicing commercial real estate law at Cadwalader, Wickersham & Taft LLP in 2001.

Kyle K. Brengel serves as Chief Operating Officer of ACRES Commercial Realty following the internalization completed on August 6, 2026, having served as the Company's Vice President of Operations since July 2020. He has also served as Chief Operating Officer of ACRES Capital, LLC since July 2020, after roles there as Managing Director (2020), Director (2018-2020) and Vice President (2017-2018). Earlier in his career he was a member of Napier Park Global Capital's Special Situations team (2015-2016), on Ares Management Corporation's Direct Lending team (2013-2015), and on the Duff & Phelps advisory team (2012-2013).

Richard A. Persaud serves as Managing Director, Finance and Accounting of ACRES Commercial Realty following the internalization completed on August 6, 2026, having served as the Company's Vice President of Finance since September 2020. He has been Chief Financial Officer of ACRES Capital since June 2020. From 2008 to 2020, Mr. Persaud was a Senior Manager in the real estate assurance practice of Ernst & Young LLP, auditing financial statements for publicly traded REITs, commercial real estate owners and operators, developers and private equity funds. He is a Certified Public Accountant and a Certified Internal Auditor.

Martin Reasoner serves as Managing Director, Originations of ACRES Commercial Realty following the internalization of the Company's external manager that closed on August 6, 2026, leading loan originations for the platform. He was previously a senior originations executive at ACRES Capital, LLC, the Company's former external manager.

Linda M. Kilpatrick has served as ACRES Commercial Realty's Vice President and Chief Accounting Officer since January 2024. She has served as the Company's Controller since October 2017 and previously as Division Controller from 2014. Before joining ACRES she was an Accounting and Reporting Manager for Independence Blue Cross (2010-2014) and a Manager in the audit practice of Grant Thornton LLP (2004-2010). She is a Certified Public Accountant.
