Lucian Iancovici Chairman of the Board

Dr. Lucian Iancovici has served as an Achieve Life Sciences director since 2026 and became Chairman of the Board effective June 8, 2026; he also serves on the Compensation Committee. He is a Partner of TPG, a global alternative asset manager, where he has worked since January 2018, and previously headed the Qualcomm Life Fund and was a general partner at dRx Capital, a Novartis-Qualcomm joint venture. Dr. Iancovici serves on the boards of Sionna Therapeutics (since 2019) and Rallybio Corporation (since 2020) and several private companies. He is a board-certified internal medicine physician who trained at Columbia University Medical Center and received his B.A. in economics and his M.D. from Tufts University.

Jeffrey Farrow Director (Chair, Audit Committee)

Jeffrey Farrow has served as an Achieve Life Sciences director since 2026, chairing the Audit Committee and serving on the Nominating and Governance Committee. He has been Chief Financial Officer and Chief Strategy Officer of Tarsus Pharmaceuticals since April 2023 and previously served as Chief Financial Officer of Global Blood Therapeutics (2016-2022, acquired by Pfizer), ZS Pharma (acquired by AstraZeneca in 2015) and Hyperion Therapeutics (acquired by Horizon Therapeutics in 2015), and earlier as vice president of finance at Evotec AG and vice president of finance and Chief Accounting Officer at Renovis, Inc. He began his career in the audit practice of KPMG LLP. Mr. Farrow holds a B.A. in business administration from California State University at Fullerton and is a certified public accountant (inactive).

Chris Martin Director (Chair, Commercial Committee)

Chris Martin has served as an Achieve Life Sciences director since 2026, chairing the Commercial Committee and serving on the Compensation Committee. He served as Chief Commercial Officer of Verona Pharma from January 2024 to October 2025 (when Verona was acquired by Merck & Co.), having earlier been its Senior Vice President and Vice President of Commercial. Before Verona he was Executive Director of Marketing at SK Life Science (2018-2020), Head of Marketing at Cempra (until its acquisition by Melinta Therapeutics), and spent ten years at Salix Pharmaceuticals. Mr. Martin also serves on the boards of Oruka Therapeutics (since 2025) and Edgewise Therapeutics (since 2025) and received a Bachelor of Science in Financial Management from Clemson University.

Nancy R. Phelan Director

Nancy R. Phelan has served as an Achieve Life Sciences director since 2025 and serves on the Audit and Commercial Committees. She is Senior Vice President of Marketing and Analytics for Phathom Pharmaceuticals, Inc. and previously served as Senior Vice President and Head of Customer Engagement at Trinity Life Sciences and Senior Vice President of Indegene. Earlier she held roles of increasing responsibility at Novartis AG, and served as Chief Executive Officer and a director of Adhera Therapeutics. She is a director of Medexus Pharmaceuticals (since 2023). Ms. Phelan received a B.A. with Honors from Franklin & Marshall College and completed coursework toward an M.B.A. from Villanova University, with certificates from Wharton Executive Education and the Harvard School of Public Health.

Aaron Royston Director

Dr. Aaron Royston has served as an Achieve Life Sciences director since 2026 and serves on the Nominating and Governance Committee. He has been a managing partner at venBio Partners, a life-sciences investment firm, since April 2020 and has been with the firm since 2015; he previously was a Senior Associate at Vivo Capital and a consultant at Bain & Company. Dr. Royston has served on the boards of RayzeBio, Ventyx Biosciences, Akero Therapeutics and VYNE Therapeutics, as well as several private companies. He received a B.S. in biological sciences from Duke University and an M.D. and M.B.A. from the University of Pennsylvania.

Thomas Sellig Director (Chair, Nominating and Governance Committee)

Thomas Sellig has served as an Achieve Life Sciences director since 2023, chairing the Nominating and Governance Committee and serving on the Audit Committee. He has been Chief Executive Officer of Adare Pharmaceuticals, Inc., a technology-driven contract development and manufacturing organization, since January 2022, and was previously Chief Executive Officer of LabConnect, Inc. (2019-2021) and Chief Commercial Officer at PSKW, LLC (ConnectiveRx). Earlier he was Senior Vice President of Global Sales at Patheon N.V. and, following its 2017 acquisition, Thermo Fisher Scientific, and held sales and alliance-management leadership roles at Covance. Mr. Sellig received his B.A. in Economics from Vanderbilt University and an M.B.A. from New York University.

Richard Stewart Director

Richard Stewart is a co-founder of Achieve Life Sciences and has served as a director since 2017. He served as the Company's Chief Executive Officer from August 2024 to April 2026 and as Executive Chairman from September 2020 to August 2024, and previously was Chief Executive Officer from the 2017 merger between OncoGenex Pharmaceuticals and Achieve to September 2020. He is a founder and director of Ricanto Limited (since 2009) and has been Chairman and Chief Executive Officer of Renown Pharma Limited since 2016. Earlier in his career he led Huxley Pharmaceuticals and Brabant Pharma (both acquired), co-founded and led Amarin Corporation plc (2000-2007), and co-founded SkyePharma plc. Mr. Stewart holds a B.S. in Business Administration from the University of Bath.

Reid Waldman Director (Chair, Compensation Committee)

Dr. Reid Waldman has served as an Achieve Life Sciences director since 2026, chairing the Compensation Committee and serving on the Commercial Committee. He has been Chief Executive Officer of Veradermics, Incorporated since 2019 and is a board-certified dermatologist with more than ten years of clinical experience. Before founding Veradermics he was a researcher who authored more than 100 publications. Dr. Waldman earned his B.A. and M.D. from the University of Missouri-Kansas City 6-Year B.A./M.D. Program and completed his dermatology residency, with a Distinction in Clinical Trials, at the University of Connecticut.

Andrew D. Goldberg Chief Executive Officer and President

Dr. Andrew D. Goldberg has served as Achieve Life Sciences' Chief Executive Officer and President and as a director since April 2026, succeeding Richard Stewart. He previously served as a portfolio manager at Marshall Wace North America L.P. from February 2024 to April 2026 and as a managing director there from March 2021, and before that as a principal and later partner at Vivo Capital, a global healthcare investment firm, from 2016 to 2021; earlier he was a consultant at McKinsey & Company advising pharmaceutical, medical-device and biotechnology companies. Dr. Goldberg sits on the board of Tarsus Pharmaceuticals (since 2020) and Inquis Medical (since 2024) and has been a director or board observer at numerous life-sciences companies. He is a U.S. board-certified physician in both Critical Care Medicine and Emergency Medicine, has been an Instructor in Medicine at the Mayo Clinic College of Medicine, and received his M.D. from The George Washington University School of Medicine and a post-doctoral diploma in translational science from the Mayo Graduate School.

Mark Oki Chief Financial Officer

Mark Oki has served as Achieve Life Sciences' Chief Financial Officer since December 2024. He was previously Chief Financial Officer of Aytu Biopharma, Inc. from January 2022 to November 2024 and Chief Financial Officer of Vivus LLC (formerly Vivus Inc.), a commercial-stage pharmaceutical company, from 2015 to January 2022. From 2006 to 2015 he held several positions at Alexza Pharmaceuticals, Inc., most recently as Senior Vice President, Finance, Chief Financial Officer and Secretary, and earlier held roles of increasing responsibility at Pharmacyclics, Inc. and Incyte Genomics, Inc. He began his career in public accounting at Deloitte & Touche. Mr. Oki holds a degree in Business Administration - Accounting from San Jose State University and is a Certified Public Accountant (inactive).

Mark L. Rubinstein Chief Medical Officer

Dr. Mark L. Rubinstein has served as Achieve Life Sciences' Chief Medical Officer since October 2025, having joined as Vice President, Head of Medical Affairs in September 2024 and served as a Medical Affairs consultant from June 2024. Before Achieve he was Head of Medical Affairs at Blip, a smoking-cessation products company, from May 2022 to June 2024, and Vice President, Global Scientific Affairs and Clinical Operations at Juul Labs, Inc. from July 2019 to May 2022. From 2003 to 2019 he was a Professor in the Department of Pediatrics at the University of California, San Francisco, where he is now Professor Emeritus of Pediatrics. Dr. Rubinstein earned his M.D. from Yale School of Medicine, completed his Internal Medicine residency at Yale-New Haven Hospital, and is board certified in Internal Medicine and Adolescent Medicine.

Erik Atkisson Chief Legal Officer

Erik Atkisson has served as Achieve Life Sciences' Chief Legal Officer since October 2025. From January 2024 to October 2025 he was a strategic life-sciences consultant advising small and mid-size companies on legal, business and compliance matters, and from February 2023 to January 2024 he served as General Counsel and Chief Compliance Officer of Rain Oncology Inc. He was previously General Counsel, Corporate Secretary and Chief Compliance Officer of Eiger BioPharmaceuticals (2021-2023) and Chief Compliance Officer and Legal Counsel of Cytokinetics, Inc. (2019-2021), and earlier held positions at Impax Laboratories (now Amneal Pharmaceuticals) and BioMarin Pharmaceutical. Mr. Atkisson received his bachelor's degree from Harvard University, a Master of Science from The University of Edinburgh, and his Juris Doctor from the Georgetown University Law Center.

Craig Donnelly Chief Operations Officer

Craig Donnelly has served as Achieve Life Sciences' Chief Operations Officer since September 2025, having joined as Senior Vice President, CMC and Regulatory CMC in March 2023 and served as Executive Vice President, CMC and Regulatory CMC from March 2024. Before Achieve he held CMC and regulatory roles at NuCana plc (2021-2023) and senior CMC and regulatory positions at ICON plc (formerly Mapi) and F. Hoffmann-La Roche Ltd. He began his career at Pfizer Inc. as an analytical chemist and later served as a Team Leader at Almac Sciences. Mr. Donnelly holds a Bachelor's degree with Honors in Chemical and Pharmaceutical Sciences from the University of Sunderland.
