James A. Cannavino has been a Director of the Company since June 2007 and chaired the Compensation Committee; he did not stand for re-election at the 2025 Annual Meeting.
Since August 2022 he has been Chairman and Chief Executive Officer of CyberSagacity Ltd. He was previously Chairman of Direct Insite (now Paybox) from 2000 to 2011 and its Chief Executive Officer from December 2002 until May 2011, and had earlier been Chief Executive Officer and Chairman of the network-security company Cybersafe, Inc., and President and Chief Operating Officer (later Chief Executive Officer) of Perot Systems Corporation.
Mr. Cannavino spent more than 30 years at IBM, retiring in 1995 as Senior Company Vice President for Strategy and Business Development. He is a past chairman of the Board of Trustees of Marist College and a founding member and past chairman of the International Center for Missing and Exploited Children.
